Introduction

Welcome to Certifika, operated by Nuxify Inc. (“Company”, “we”, “our”, or “us”).

These Terms and Conditions (“Terms”) govern your use of Certifika’s website, console, and mobile applications (collectively, the “Service”). Our Privacy Policy also applies and explains how we collect, safeguard, and disclose information.

By creating a Certifika account or using our Service, you agree to these Terms. If you do not agree, you may not use the Service.

Definitions

• Account – A registered profile created through the Certifika mobile app, required for using the Service.
• Event Owner – An organization or individual responsible for hosting events and issuing certificates or badges through Certifika.
• Participant – A user who claims, verifies, or shares certificates or badges issued via Certifika.
• Milestone – A unit representing the issuance of one certificate or badge to one participant.
• Recovery Key – The unique cryptographic key provided upon account creation, required for account recovery and security.

Eligibility

You must be at least 18 years old, or of legal age in your jurisdiction, to use the Service. By creating an account, you represent that the information you provide is accurate and complete.

For organizational accounts, you represent that you have the authority to bind your organization to these Terms.

Account Registration and Security

• You must create an account via the Certifika mobile app using a valid email address.
• Your name cannot be changed after registration, as they are permanently linked to your credentials.
• You are solely responsible for safeguarding your Recovery Key and login credentials. Certifika cannot recover accounts without the Recovery Key.
• You agree to maintain accurate information and promptly update it as needed.

Services

Certifika provides tools to issue, claim, verify, and share blockchain-backed digital certificates and badges. Features include:

• Event creation and participant list management (for Event Owners).
• Instant claiming and QR-code verification (for Participants).
• Permanent, tamper-proof records stored on blockchain.
• Personalized and shareable certificates (when enabled by organizers).

We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

Event Owners’ Responsibilities

Event Owners agree to:

• Provide accurate event details, participant lists, and certificate/badge designs.
• Obtain all necessary permissions from participants to use their personal information.
• Ensure designs comply with community guidelines (no offensive or illegal content).
• Respect participant privacy and comply with applicable data protection laws.

Payment and Billing

• Event Owners may purchase milestone bundles or subscription plans.
• Payments must be made in full and upfront before activation.
• All payments are non-refundable except as required by law.
• Additional milestones may be purchased in bundles of at least 100 milestones.
• Certifika reserves the right to adjust prices with prior notice.

Intellectual Property

All content, software, and technology used in the Service, including the Certifika name and logo, are the exclusive property of Nuxify Inc. or its licensors. Users retain ownership of their submitted certificate and badge designs but grant Certifika a worldwide, royalty-free license to store, display, and distribute them as needed for event execution.

Data Privacy

Your use of the Service is governed by our Privacy Policy, which describes how we collect, process, and protect your personal information. By using Certifika, you consent to these practices.

Security and Blockchain Permanence

• Certificates, badges, event names, and designs are permanently stored on blockchain once submitted and cannot be altered or removed.
• Deleting your account removes your personal data from Certifika systems but does not erase previously issued certificates or badges.

Prohibited Conduct

You agree not to:

• Misuse the Service for fraudulent or illegal purposes.
• Attempt to reverse engineer, hack, or disrupt the Service.
• Upload designs or content that violate intellectual property rights, are defamatory, obscene, or otherwise unlawful.

Termination

We may suspend or terminate your account if you violate these Terms or engage in abusive behavior. Upon termination, your access to the Service will cease, but previously issued certificates will remain on the blockchain.

Disclaimers and Limitation of Liability

• The Service is provided “as is” and “as available,” without warranties of any kind, express or implied.
• Certifika is not responsible for errors in event data, participant information, or third-party misuse of certificates.
• To the maximum extent permitted by law, our liability is limited to the total amount paid by you in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Nuxify Inc. and its affiliates from any claims, damages, or expenses arising from your misuse of the Service, violation of these Terms, or infringement of third-party rights.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Philippines. Any disputes arising from these Terms shall be resolved exclusively by the courts of Davao City, Philippines, unless otherwise required by law.

Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes are published constitutes acceptance of the revised Terms.
